DECLARATION OF INTENT (PLEASE USE BLOCK LETTERS) We, the members of ……Witnesses for Yahshua the Messiah…..at…Pretoria, South Africa….hereby declarethat we identify ourselves with the goals / vision / purpose / activities ofthis organisation as from (day)…01 …..(month)…May…(year)…2003….1. Name

1.1. The Name ofthis organisation is: “Witnesses for Yahshua the Messiah”
1.2. Also known as: WFJC2. Description

2.1. We are …a non-profitable organisation, which will witnesses to the world, nationally and internationally allthat the Lord Yahshua the Messiah had reveal to us. We will be recruiting people for the kingdom of the Almighty God of heaven and earth, according to the words of Yahshua the Messiah: “But you shall receive power when the Holy Spirit has come upon you; and you shall be witnesses to Me in Jerusalem, and in all Judea and Samaria, and to the end of the earth.” (Acts 1:8)

3. Body Corporate

3.1. The Organisation shall:
3.1.1. Exist in its own right separately form its members.
3.1.2. Continue to exist eventhough Directorate changes and appoint different Office Bearers.
3.1.3. Be able to own property and o ther possessions

4. Vision

4.1. Sothat the…. knowledge of the Glory of YHWH can fill the earth as water cover the sea. (Hab 2:14)
4.2. Sothat the…. the gospel of the Kingdom of God can be preached to All Nations. (Matt 24:14)
4.3. For the…. Church of Yahshua the Messiah to reach Unity in the Faith. (Eph 4:11-13)
4.4. For the…. Restoration of the ministry of Yahshua the Messiah!

5. Purpose

5.1. To…. ‘Bring’ in the “Last great Harvest” of the Lord. (Isa 41:15-16)
5.2. To…. ‘Make’ and ‘Teach’ the coming “Disciples” (Matt 28:19-20)
5.3. To…. ‘Warn’ against “false prophets” (Matt 24:11 & 24)
5.4. To…. ‘Reveal’ “Prophetic Revelation” of Scripture. (2 Pet 1:19-20)

6. Declaration of Faith

6.1. We believe in the Holy Bible as the ultimate and final Word of God (2 Tim 3:16)
6.2. We believe in one eternal God who manifested himself as the Fa ther in creation and as the Saviour in His Son Yahshua the Messiah and who will come again to judge all men. (Isa 9:5-6)
6.3. We believethat Yahshua the Messiah was crucified, died and resurrectedthree days later and is now at the right-hand of the Majesty in Heaven interceding for us. (Acts 2:32 - 33 & 1 Cor 15:3 - 4)
6.4. We believe in discipling the nations in order to become like Yahshua the Messiah. (Matt 28:18-20)
6.5. We beliefthat all men are sinful, but are justified freely by faith in the complete work of Yahshua the Messiah on the cross. (Rom 3:23 – 24)
6.6. We believe in the repentance of sins and in the baptism in the Name of the Fa ther and the Son and Holy Spirit or Yahshua the Messiah as a covenant sign of eternal commitment to Yahshua the Messiah. (Acts 2:38)
6.7. We believe in the Baptism of the Holy Spirit and Fire and the gifts of the Holy Spirit. (Acts 2:17-21)
6.8. We believe in the sanctificationthrough the Holy Spirit sothat we can be a radiant Bride when our Lord and Saviour, Yahshua the Messiah appear

7. Directorate

7.1. Duties of Directorate & Leadership 7.1.1. The executive of…Witnesses for Yahshua the Messiah…(name of committee) comprises of the following:
7.1.1.1. Chairperson - Director
7.1.1.2. Vice-chairperson – Director
7.1.1.3. Secretary / Administrator - Administrator & Secretary
7.1.1.4. Treasurer - Financial Administrator
7.1.1.5. Spiritual Administrators Intercessors
7.1.1.6. Prophetic Advisors
7.1.1.7. Missions Coordinator & Liaison

7.1.2. Directorate members will serve for one year and can there after be re-elected for ano ther term in office afterthat.
7.1.3. Directorate will meet at least once a month. A quorum for voting purposes will be formed when…60%. …(%) of the members of the directorate are present.
7.1.4. Minutes will be taken to record management decisions taken. Minutes of the former meeting will be given to all Directorate members at least two weeks before the time. The minutes shall be confirmed as a true record of proceedings by the next meeting of directorate and shall thereafter be signed by the chairperson.
7.1.5. Minutes of all meetings must be kept safely and always be on hand for any inquiry of members or outside organisations with the same purpose.
7.1.6. Any member of directorate who is absent from…70%. of subsequent meetings without a valid excuse will forfeit his / her membership.
7.1.7. The organisation retains the right to form sub-committees. All decisionsthat sub-committees make must be presented to directorate. Directorate then in its turn must ei ther except or reject the decisions made at the next meeting. By agreeing to decisions directorate ratifies them.
7.1.8. All member of the organisation have to abide by the decisions made by Directorate members.
7.1.9. No Directorate member or any o ther member will be held liable for any of the liabilities of the organisation solely by virtue of the status as members or Directorate of the organisation.
7.1.10. In the case where a member is guilty of serious neglect of duty or where his / her conduct is contradictory to the vision, purpose or to Clause IV, membership may be terminated.
7.1.11. In the case of membership termination an appeal can be made at covering body of authority.
7.1.12. There shall be no membership fees until so determined by Directorate.
7.1.13. Any member of Directorate will not be held liable for any loss suffered by any person as a result of an act of omission which occurs in good faith while he / she is performing functions for or on behalf of the organisation.

7.1.14. The Management of the organisation will consist of not lessthan 5 directorate members with the following duties:

7.1.14.1. Chairman

7.1.14.1.1. Takes the chair at all meetings
7.1.14.1.2. Has the deciding vote
7.1.14.1.3. Sees to itthat the constitution/vision/purpose and faith declaration are properly complied with and executed.
7.1.14.1.4. Can convene special meetings.
7.1.14.1.5. Must be fully informed of the correct procedure and conduct of meetings.
7.1.14.1.6. Must insure the at all timesthat the minority member’s interests are protected.

7.1.14.2. Vice-chairperson

7.1.14.2.1. Takes the chair in the absence of the chairperson.
7.1.14.2.2. Is an ex-officio member of sub-committees?

7.1.14.3. Missions Coordinator & Liaison

7.1.14.3.1. Will be responsible for all liaisons with o ther organizations.
7.1.14.3.2. Will be responsible for all medical danger and security of missionaries.
7.1.14.3.3. Will coordinate seminars, conferences, crusades, missions and missionary journeys.

7.1.14.4. Secretary & Administrator

7.1.14.4.1. Keeps proper minutes of all meetings
7.1.14.4.2. Deals with all correspondence of all members and organizations.
7.1.14.4.3. Responsible for organization file, agendas mail and reports.
7.1.14.4.4. Ensurethat organisation registration number appears on all documents.
7.1.14.4.5. Responsible for general administration.

7.1.14.5. Treasurer

7.1.14.5.1. Responsible for all incoming finances form sponsor organizations.
7.1.14.5.2. Keep proper financial statements.
7.1.14.5.3. Monitor all expenditure ofthis organization in accordance the constitution’s regulations.
7.1.14.5.4. See to itthat all expenditure is in accordance with the resolutions of the meetings.
7.1.14.5.5. Coordinate with the Sponsors for constant supply of finances for the Missionaries.
7.1.14.5.6. Coordinate with missionaries for constant supply of living cost.
7.1.14.5.7. Coordinate supporting projects like poor, hospitals and old aged homes ect.

7.2. Names of Directorate
7.2.1. Directors -
7.2.2. Admin Administrator & Secretary –
7.2.3. Financial Administrator -
7.2.4. Missions Coordinator & Liaison -

7.3. Election of new Directorate

7.3.1. The election of new committee members will take place in (month)…November…by sealed ballot. All active members ofthis organization will each have one vote per person.
7.3.2. The term of office ofthis organization will extend from the end of December in one year to the end of December in the following year.

7.4. Power of Directorate Members

7.4.1. All directorate members are under the complete authority of the word of God, the guidance of the Holy Spirit and the laws of the countries where work will be done.
7.4.2. Directorate has the power and authority to raise funds or to invite and receive contributions.
7.4.3. Management has the power to buy, upgrade, maintain, hire or exchange any property in order to achieve its purpose as is stipulated in point No.

7.5. O ther Non-directorate positions

7.5.1. Spiritual Administrator

7.5.1.1. Ensuring of spiritual standards of unity, holiness, integrity and purity.
7.5.1.2. Ensuring a constant openness among Directorate & Leadership by continual confession of sins.
7.5.1.3. Ensuring continual guidance by the Holy Spirit and the Word of God.
7.5.1.4. Ensuring spiritual back-up at all times for disciples & missionariesthrough the Prophetic and Intercessors
7.5.1.5. Making surethat no favouritism creeps in among members or leadership.

7.5.2. Intercessors

7.5.2.1. There will be at least 5 dedicated intercessors at all times.
7.5.2.2. They will be responsible to be watchmen.
7.5.2.3. They will be responsible for spiritual protection and warfare.
7.5.2.4. They will continually intercede for Leadership, countries targeted by the Holy Spirit, the organizations financial welfare and missionaries in operation.
7.5.2.5. Prayer, supplications with fasting and sackcloth & ashes will be a habit of life.

7.5.3. Prophetic Advisors
7.5.3.1. There will be at least 5 prophets at all times when advice and direction are needed.
7.5.3.2. They will be able to distinguish God’s voice for clear and directed guidance.
7.5.3.3. They will be proven men with a strong relationship with God.
7.5.3.4. They will be committed and dedicated workers in the kingdom of God who are full of faith and the Holy Spirit.

8. Financial Procedures

8.1. Income and property
8.1.1. This organization is a non-profit organization and therefore undertakes to strictly use all incoming finances only for the following purposes:

8.1.1.1. Personal living cost
8.1.1.2. Monthly office use
8.1.1.3. Monthly organization expenses
8.1.1.4. Progressive or incurring expenses
8.1.1.5. Supporting of o ther Christian projects: Missions, Poor, Hospital, Old aged home ect.
8.1.1.6. Extrapolated expenses for Conferences, Seminars, Crusades and Missionary Journeys.

8.1.2. The Organisation will keep athorough record of all possessions owned by it
8.1.3. No money given to the organisation by gift or sponsors may be used for personal use of Directorate or members.
8.1.4. The organisation may employ members if workload becomes too much.
8.1.5. No individual has any right to any possessions owned by the organisation.
8.1.6. In case of any investment of funds to be made only registered financial institutions may be used. These institutions are listed in Section 1 of the financial Institutions (Investment of Funds) Act, 1984. Or the organisation can get securitiesthat are listed on a list stock exchange as set out in the Stock Exchange Control Act, 1985. The Organisation can go to different banks to seek advice for the best place of investment.

8.2. Expenditure
8.2.1. Whenever funds are needed out of the organisations bank account at least 60% of the Directorate members must sign for the withdrawal of any finances.
8.2.2. Any reasonable expenses occurred, because of service done for the organisation can be claimed back if it was arranged before hand with both Directors.
8.2.3. Any member of the organisation can only claim any expense if it was before hand arranged with both directors.

8.3. Finances
8.3.1. The Financial year of the organisation ends at 31 July.
8.3.2. The organisation’s accounting records and reports must be ready and handed to the Director of Non-profit Organisations within six months after the financial year.

9. Meetings

9.1. Monthly meeting
9.1.1. A monthly meeting must be held to take stock of direction and statue of projects in operation.
9.1.2. Directorate must seek God’s face toge ther in prayer regularly for unity and direction.

9.2. Annual General meeting
9.2.1. An annual general meeting must be held once a year towards the close of the organisations financial year-end.
9.2.2. The following point amongst o ther must be on the agenda of the annual general meeting:
9.2.2.1. The Chairperson’s report
9.2.2.2. The Treasurer’s
9.2.2.3. Read and confirm former annual minutes with matters arising.
9.2.2.4. Changes to the constitutionthat need be made.
9.2.2.5. Re-election of new Directorate.
9.2.2.6. General

10. General Membership

10.1. Membership tothis organization is only available to the following candidates:

10.1.1. Every person who accepts the words of the Holy Bible and the declaration of faith as was stipulated in Clause IV.
10.1.2. Anyone who hate everything and anythingthat prevents him / her from following the Lord Yahshua the Messiah andthus be His disciple. (Luke 14:23 –33)
10.1.3. Anyone who after understanding the words and calling of our Lord Yahshua the Messiah repents and live his / her life as a living sacrifice to the Lord. (Rom 12:1 – 3)

11. Amendments

11.1. Any amendment tothis constitution/regulations must be submitted in writing to the elected chairperson for voting by the members at a general meeting not lessthan 14 working days before a general meeting. The notice must indicate clearly the proposed changes to the constitutionthat will be discussed at the meeting.
11.2. Any amendments tothis constitution/ these regulations may strictly only be done per (majority or percentage vote)…4 or 80% … subject to the approval of the Directorate of Witnesses for Yahshua the Messiah.
11.3. No amendment may be madethat will cause the organisation to cease to exist.

12. Dissolving or Winging-up

12.1. The Organisation may dissolve or cease to exist if at least twothirds of the Directorate members vote in favour of it at a meeting specifically convened forthat purpose.
12.2. In case wherethis organisation ceases to exist it must first pay off all its debt if any.
12.3. Only afterthis was done the finances left over must be given to ano ther non-profit organisationthat has similar declarations of faith and purposes.
